Pre-signature contract risk checklist

A short checklist to run before a major contract is signed — covering liability, warranty, delivery and insurance exposure that survives long after the celebration.

Use this checklist before signature on any contract that materially changes revenue, complexity or delivery commitments. The point is to review the risk while you can still walk away or renegotiate — not after the terms are fixed. 1. Liability: Are liability limits, indemnities and hold-harmless clauses within the cover you actually carry? 2. Warranty: What warranty or guarantee obligations survive after delivery, and for how long? 3. Delivery: Are there liquidated damages, penalties or termination rights tied to delivery performance? 4. Concentration: Does the contract increase dependency on one customer, supplier or asset? 5. Values: Do turnover, stock and work-in-progress declarations need re-basing? 6. Continuity: Does the interruption recovery period still hold if this contract is won? 7. Evidence: What records will prove quality, approval and delivery if the contract is disputed?
